AssetWise Public Company Limited and its subsidiaries and affiliated companies (the “Company”) are committed to conducting business with continuous growth on the basis of integrity, responsibility, transparency, and ethical principles, while upholding accountability to all stakeholders. This commitment ensures that the Company’s operations are efficient, reliable, and capable of creating sustainable value for all stakeholders.

The Company recognizes that corruption and bribery have detrimental impacts and pose significant obstacles to the social and economic development of the country. Such practices are improper and create unfairness in business, adversely affecting business ethics, competitiveness, and acceptance both domestically and internationally. They also undermine the confidence of all parties associated with the Company, including shareholders, investors, and other stakeholders.

Therefore, the Company upholds transparency as a fundamental principle in conducting business under good corporate governance. The Company does not support any organizations, groups, or individuals who engage in, tolerate, or support any form of corruption or bribery, whether directly or indirectly.

Management Approach and Value Creation

Code of Conduct

The Company has established a Code of Conduct as a key guideline for business practices, aligned with its commitment to good corporate governance. This Code of Conduct serves to ensure that directors, executives, and employees understand and apply it as a framework for conducting business and strictly adhere to it in the performance of their duties.

The Company reviews the Code of Conduct at least once annually to assess its effectiveness. The Corporate Governance Committee is responsible for conducting the review and subsequently proposing any revisions to the Board of Directors for consideration and approval. Once approved, the updated Code of Conduct is communicated and implemented throughout the organization.

Oversight of Compliance with the Code of Conduct
The Board of Directors oversees compliance with the Company’s Code of Conduct by appointing a Corporate Governance Committee. The Committee is responsible for establishing and reviewing practices in accordance with the Code of Conduct, as well as monitoring implementation progress. It reports the results and progress of its operations to the Board of Directors at least twice a year.
Implementation and Monitoring of the Code of Conduct
The Company has established guidelines and procedures to promote adherence to, and ensure ongoing monitoring of, compliance with the Code of Conduct in its business operations, as follows:

Compliance Audit of the Code of Conduct
In 2025, the Company conducted audits to assess compliance with its Code of Conduct. No incidents of non-compliance with ethical standards, the Code of Conduct, or any applicable laws and regulations were identified. Furthermore, no directors or executives of the Company were found to have engaged in any unethical conduct.
In addition, the Company has established procedures for monitoring and addressing non-compliance with laws and regulatory requirements. The Internal Audit function is responsible for developing an annual audit plan and conducting audits of operational processes in accordance with the approved plan. In the event that any non-compliance is identified, Internal Audit prepares audit reports together with recommendations for corrective actions and communicates them to the responsible units for rectification. Audit results are reported to the Audit Committee on a quarterly basis.
Promotion of Supplier Code of Conduct
The Company has established a Supplier Code of Conduct to serve as a guideline for its suppliers and to promote responsible and ethical business practices throughout its supply chain. The Supplier Code of Conduct covers the following key areas:

Anti-Corruption

Anti-Corruption Policy
The Company’s Anti-Corruption Policy strictly prohibits directors, executives, and employees from engaging in or accepting any form of corruption, whether directly or indirectly, in dealings with government agencies, private entities, or any related parties, for the purpose of obtaining business opportunities or securing undue personal benefits in violation of ethical standards. Prohibited actions include, but are not limited to, offering or accepting promises, gifts, entertainment, donations, sponsorships, facilitation payments, or any other improper benefits from individuals or entities with business relationships with the Company.
The Company reviews its Anti-Corruption Policy on an annual basis. In this regard, the policy was most recently reviewed and approved at the Board of Directors’ Meeting No. 5/2025, held on 11 December 2025.
Compliance with the Anti-Corruption Policy
The Board of Directors oversees the implementation of the Anti-Corruption Policy, as well as the measures and guidelines established to prevent corruption and bribery.
In 2025, the Company reported no violations of its Anti-Corruption Policy. There were no incidents related to corruption or bribery, and no legal cases or disputes concerning corruption or bribery were identified.
No Gift Policy
The Company has consistently implemented a “No Gift Policy” during all festive seasons on an annual basis. The policy establishes clear guidelines regarding the giving and receiving of gifts, entertainment, and other benefits, in alignment with the Company’s Anti-Corruption Policy. Its objective is to promote appropriate workplace standards by discouraging expectations of personal gain and to foster a corporate culture of transparency, free from corruption and bribery.
The policy has been communicated to directors, executives, and employees, as well as to the Company’s suppliers and business partners, through various communication channels, including email, the intranet, the Company’s website, and internal signage displayed at the head office and project sites.
CG & ANTI CORRUPTION DAY
The Company actively promotes and reinforces awareness among all employees regarding compliance with good corporate governance principles, the Code of Conduct, and anti-corruption and anti-bribery practices through tangible initiatives. One of the key initiatives is the annual “CG & Anti-Corruption Day,” which is held at the Company’s head office.
In 2025, the Company organized this event on 22 January 2025, with the objective of encouraging executives and employees to recognize the importance of, and adhere to, the Company’s Anti-Corruption Policy. The event represents the Company’s collective commitment to conducting business with fairness, integrity, and zero tolerance for corruption and bribery in all forms, with the aim of becoming a sustainable, transparent, and accountable organization.
The event activities included knowledge-sharing sessions on good corporate governance principles, the Code of Conduct, and anti-corruption and anti-bribery practices, as well as interactive quiz games with prizes and souvenirs to promote engagement and understanding.
